VOUX WINES – PRIVATE CLUB TERMS OF SERVICE & MEMBERSHIP AGREEMENT

1. Overview

Welcome to VOUX Wines Private Winery Club (“VOUX Wines,” “the Club,” “we,” “our,” or “us”).
By enrolling in any membership tier, making a reservation, attending an event, visiting the property, or otherwise engaging with our services, you (“Member,” “you,” or “your”) acknowledge and agree that you are joining a private membership association and are bound by these Terms of Service and Club Rules.


VOUX Wines operates as a private membership-based winery located at 36149 Meadow Ridge Rd., Temecula, California 92592. The property and its facilities are not open to the general public and access is restricted to approved members and their invited guests.


2. Private Membership Agreement

By joining or participating in the Club in any capacity, you acknowledge and agree to the following:

  1. Private Association:
    Membership in VOUX Wines constitutes participation in a private, member-only association. The Club is organized under the principles of private association and freedom of contract, protected by the First and Fourteenth Amendments to the United States Constitution and applicable state law.
  2. Acceptance of Rules:
    Members agree to abide by all Club Rules, Bylaws, and Policies, as amended from time to time, which govern conduct, membership privileges, and use of Club property.
  3. Non-Public Nature:
    The Club and its premises are not open to the public. Membership or authorized guest status is required for entry, tastings, events, and any on-site participation.
  4. Voluntary Participation:
    Joining the Club is a voluntary act. By doing so, you agree to participate in and be governed by the Club’s private rules and dispute procedures rather than public regulatory frameworks intended for commercial public entities.


3. Membership Eligibility and Access

  1. Eligibility:
    Membership is by invitation or application approval only. VOUX Wines reserves the right to approve, deny, or revoke membership at its sole discretion.
  2. Access and Privileges:
    Membership provides limited rights to access the Club’s facilities, attend private tastings or events, and purchase wines produced on-site. All activities are for the benefit of members and their personal guests only.
  3. Guests:
    Members may invite guests in accordance with current Club policy. Members are responsible for ensuring their guests comply with all rules and conduct standards while on the premises.


4. Conduct and Member Responsibilities

Members and guests agree to:

  • Respect the property, staff, and other members at all times.
  • Follow posted safety and operational guidelines.
  • Consume alcohol responsibly and in compliance with ABC regulations applicable to licensed winegrowers.
  • Not act in any manner that could endanger others, disturb operations, or violate the Club’s private nature.

The Club reserves the right to suspend or terminate membership for conduct inconsistent with these expectations or detrimental to the community.


5. Club Property and Operations

  1. Licensed Premises:
    The Club operates under a valid California ABC Type 02 Winegrower License, authorizing production and limited on-premises tasting of wines produced on the property.
    All tastings and events occur on the licensed premises and are restricted to members and invited guests.
  2. Agricultural and Private Nature:
    The property is zoned R-A (Rural Agricultural) and functions as an active agricultural operation. Club tastings and events are incidental to on-site wine production and vineyard management.
  3. No Public Commercial Activity:
    VOUX Wines does not operate as a bar, restaurant, or public tasting facility. All activities are private and conducted under the principles of a member association.


6. Dispute Resolution

As a condition of membership, all members agree that:

  • Any dispute arising from membership, Club rules, or property use shall first be resolved internally through good-faith mediation within the Club.
  • If unresolved, disputes shall be subject to private arbitration in Riverside County, California, under the rules of the American Arbitration Association.
  • Members waive any right to a public trial or class action.


7. Indemnification and Liability Waiver

By joining, members and guests assume all responsibility for their own safety and voluntarily waive any claim against VOUX Wines, its owners, employees, or agents for personal injury, property loss, or damages arising from participation in Club activities, except where caused by gross negligence or willful misconduct.


8. Amendments

VOUX Wines may update or modify these Terms of Service and Club Rules at any time. Continued participation or renewal of membership constitutes acceptance of the revised terms.


9. Acceptance of Terms

By applying for or accepting membership, you affirm that:

  • You have read, understood, and agree to these Terms of Service;
  • You are voluntarily joining a private membership association; and
  • You consent to be bound by all current and future Club Rules.
  • You are at least 21 years of age and acknowledge that someone at least 21 years of age must be present to sign for a wine delivery.
  • You are obligated to receive three shipments before deciding to opt out of membership with a 30 day written notification prior to a release. A membership is not cancelled until confirmed by a wine club representative. Our online clubs can be cancelled at any time.
  • No Children or Pets Policy: To maintain the adult, wine-focused environment of VOUX Wines and ensure the comfort and enjoyment of all members, children (under the age of 21) and pets are not permitted in the tasting room or anywhere on the VOUX Wines property. This policy applies to all members and their guests, without exception—including service animals. VOUX Wines is a private club and reserves the right to enforce this policy at all times.
  • Will-Call shipments will automatically be shipped out after 40 days at the members expense.
  • Your credit card provided will be billed automatically on the 1st of each quarter according to the club selection including shipping and tax.
  • Shared memberships are for spouses only.


Messaging Terms & Conditions


General


When you opt-in to the service, we will send you a message to confirm your signup.


By opting into messages, you agree to receive recurring automated marketing and informational text messages from VOUX Wines for VOUX Wines. Automated messages may be sent using an automatic telephone dialing system to the mobile telephone number you provided when signing up or any other number that you designate.


Message frequency varies, and additional mobile messages may be sent periodically based on your interaction with VOUX Wines. VOUX Wines reserves the right to alter the frequency of messages sent at any time to increase or decrease the total number of sent messages. VOUX Wines also reserves the right to change the short code or phone number where messages are sent.


Message and data rates may apply. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. Your wireless provider is not liable for delayed or undelivered messages.


Your consent to receive marketing messages is not a condition of purchase.


Carriers


Carriers are not liable for delayed or undelivered messages.


Cancellation


You can cancel any time by texting "STOP". After you send the SMS message "STOP", we will send you a message to confirm that you have been unsubscribed and no more messages will be sent. If you would like to receive messages from VOUX Wines again, just sign up as you did the first time and VOUX Wines will start sending messages to you again.

Transfer of Number


You agree that before changing your mobile number or transferring your mobile number to another individual, you will either reply “STOP” from the original number or notify us of your old number at info@vouxwines.com. The duty to inform us based on the above events is a condition of using this service to receive messages.

Messaging Terms Changes


We reserve the right to change or terminate our messaging program at any time. We also reserve the right to update these Messaging Terms at any time. Such changes will be effective immediately upon posting. Your continued enrollment following such changes shall constitute your acceptance of such changes
